End User License Agreement

Subject to your compliance with this EULA and payment of applicable subscription fees, Profit Hawk grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Software solely for your internal business purposes — specifically, bookkeeping and financial tracking for your own online resale operations.

This license does not include the right to sublicense, resell, distribute, or otherwise make the Software available to third parties. The Software is licensed, not sold.

You may not:

• Copy, modify, translate, or create derivative works of the Software
• Reverse-engineer, disassemble, decompile, or attempt to derive the source code of the Software
• Remove, alter, or obscure any proprietary notices or labels on the Software
• Use the Software to build a competing product or service
• Use the Software in any manner that violates applicable law or infringes any third-party rights
• Circumvent any technical protection measures in the Software

The Software and all intellectual property rights in it are and remain the property of Profit Hawk. This EULA grants you no ownership rights in the Software. All rights not expressly granted here are reserved by Profit Hawk.

Your data — the financial records, inventory entries, and reports you create using the Software — remains your property. See our Privacy Policy for details on how we handle it.

Profit Hawk may update, modify, or discontinue features of the Software at any time. We will endeavor to provide reasonable notice of material changes. Continued use of the Software after an update constitutes acceptance of the updated Software. We are not obligated to provide any specific update or maintain any specific feature indefinitely.

This license is effective until terminated. It will terminate automatically and without notice if you breach any provision of this EULA or the Terms of Service. Upon termination, you must immediately cease all use of the Software. Profit Hawk may also suspend or terminate your license at its discretion for violations of our acceptable use policies.

The provisions of this EULA that by their nature should survive termination — including ownership, warranty disclaimer, and limitation of liability — shall survive termination.

THE SOFTWARE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND. PROFIT HAWK EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

PROFIT HAWK DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. THE SOFTWARE IS A BOOKKEEPING TOOL — IT IS NOT A SUBSTITUTE FOR ADVICE FROM A LICENSED TAX PROFESSIONAL, CPA, OR ATTORNEY.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROFIT HAWK SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THIS EULA OR YOUR USE OF THE SOFTWARE, INCLUDING LOSS OF PROFITS, LOSS OF DATA, OR BUSINESS INTERRUPTION, EVEN IF PROFIT HAWK HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

PROFIT HAWK'S TOTAL LIABILITY UNDER THIS EULA SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRIOR TO THE CLAIM.

This EULA is governed by the laws of [STATE], without regard to its conflict-of-law provisions. Any dispute arising under this EULA shall be resolved as set forth in our Terms of Service.

This EULA, together with the Terms of Service and Privacy Policy, constitutes the entire agreement between you and Profit Hawk regarding the Software and supersedes all prior agreements, representations, and understandings. If any provision of this EULA is found unenforceable, the remaining provisions will continue in full force.
